Clear responsibilities, proper financial records and project-level reporting provide a foundation for informed participation.

INDEPENDENT RESPONSIBILITY

Governed by its Board.

The Foundation’s governance and decision-making responsibility rests with its Board. Its founding document requires independent judgement in the interests of the Foundation and its public-benefit objectives.

At least three unconnected persons must accept fiduciary responsibility. No single person may control the Foundation’s decision-making powers.

Black Sable™ Holdings is a strategic partner and has no ownership, membership or controlling rights in the Foundation. The Foundation’s economic interest in Holdings is separate from who governs the Foundation.

FINANCIAL ACCOUNTABILITY

Clear records.
Responsible oversight.

The founding document requires proper books of account in South Africa, a bank account in the Foundation’s own name, authorised payments and annual financial statements.

Annual financial statements must be independently reviewed or audited in accordance with applicable requirements. The financial year ends on 28 February. These are governance requirements; they are not a claim that a particular audit has already been completed.

  • Board oversight and documented decisions.
  • Project budgets and separately recorded commitments, receipts and expenditure.
  • Appropriate review or audit and annual reporting.
  • Publication of approved reports and project evidence.

Section 18A is confirmed at project and contribution level.

The current approved activities include public safety and the promotion of, and education and training relating to, environmental awareness, greening, clean-up or sustainable-development projects.

Project pages display Yes / No / To be confirmed. A qualifying receipt is issued only after the donation and intended application have been checked. An enquiry or pledge is not a receipt. Seek your own advice on your tax position.

LONG-TERM STEWARDSHIP

The Black Sable™ name.

The Foundation owns and stewards the Black Sable™ trademark as part of its long-term institutional role. Brand and intellectual-property arrangements must support its public-benefit purpose and preserve its non-profit character.

Economic participation creates a potential source of public-benefit resources. It does not replace independent governance, lawful financial controls or project-level accountability.
